CASE STUDIES

Mergers and Acquisitions
Mr. Munoz was the critical player for SCP Worldwide in its acquisition of the St. Louis Blues in 2006, as well as the complicated equity/debt structure utilized to complete this transaction. Mr. Munoz also represented SCP in its successful exit from the Blues in 2012.

Mr. Munoz was lead counsel in the sale of HTN Communications, LLC to the Switch, which closed successfully in 2013. In addition to negotiating the sale of the company, Mr. Munoz successfully concluded related loan and executive employment agreements.

Theater Development and Production
In 2009, Mr. Munoz was responsible for all legal matters facing Running Subway, LLC, in its developing, funding, constructing and opening of a major exhibition center in the heart of Manhattan – Discovery Times Square (“More than a Museum”). Legal activities and responsibilities included:

• Negotiating and closing a $10M capital equity agreement with a third party investor
• With real estate counsel, negotiating a multi-year, commercial real estate lease, and simultaneously negotiating related construction agreements to build out a 60,000 sq. ft. museum space
• Negotiating and drafting exhibit license agreements for the opening shows, a naming rights agreement with Discovery Channel and a building concessions/merchandising agreement.

In 2012, Mr. Munoz was a lead producer of the Broadway show How the Grinch Stole Christmas. In this role, Mr. Munoz negotiated and drafted investor agreements, venue contracts and talent agreements. This show had a successful 2012 holiday season run at the Boston Wang Theatre and the Theatre at MSG in New York.

In addition, in 2015, Mr. Munoz represented an investment group in the development and rights acquisition of a foreign “first-class”, live musical show for performance in the United States.
